Fircrest Yacht Club

(Revised February 2002)

Article I - Name and Purpose

Section 1: The name of the club shall be Fircrest Yacht club, also known as Fircrest Cruising Club.

Section 2: The purpose of Fircrest Yacht Club is to be non-profit and to promote courteous and safe boating and social interaction among its members.

Article II - Membership

Section 1: Membership in the Fircrest Yacht Club shall be open to any person or family sponsored by a member of the club in good standing provided Fircrest Yacht Club and the prospective member adhere to the procedures for membership as set down by the members of the Club. The numbers of members will be controlled by the Board of Directors subject to a majority vote of the members present at any meeting.

Section 2: Membership in the Fircrest Yacht Club shall be acquired by a three-fourths majority vote of the members present at any meeting. Vote shall be by popular ballot.

Section 3: Membership shall not be transferable.

Section 4: Membership may be terminated for any reason whatsoever by a three-fourths vote of the members of the Fircrest Yacht Club present at any meeting; however, a letter will be sent to any member who is to be terminated and all members of the Club at least one week prior to any vote of termination.

Section 5: Upon termination, a member shall forfeit all rights to all Club property.

Article III - Management

Section 1: Management shall be vested in a Board of Directors who will serve without compensation and their actions shall be subject to approval of the general membership.

Section 2: The Board of Directors shall consist of a Commodore, Vice Commodore and Treasurer. The Board shall be empowered to obligate the Club in an amount not to exceed $300 per year. The Board shall have authority to pay all Club bills that have been budgeted and approved by the membership. All members of the Board will be authorized to sign Club checks and one signature will be required on checks.

Section 3: All members of the Board of Directors shall hold office for a period of one year and not for more than three consecutive years.

Section 4: Nomination and election of the Board of Directors shall be at a meeting held in November, either separately or in conjunction with a cruise. Such election shall be by popular ballot. The elected Board shall assume its duties at the December cruise.

Section 5: The Board of Directors shall designate who on the Board will hold the three positions provided in Section 2.

Section 6: The Commodore shall chair the Board of Directors and preside at all meetings of the Club. Other duties include appointment of cruise chairpersons for the year, presentation of the cruise schedule at the January meeting, keeping record of points for Cruise Family of the Year, awards, and other duties as needed to carry out the activities of the Club.

Section 7: The Vice Commodore shall assist the Commodore and perform the duties of the Commodore in his/her absence. The Vice Commodore shall also keep minutes of all meetings of the Board of Directors and of the membership and be responsible for the Club's reciprocal moorage program.

Section 8: The Treasurer shall be responsible for all money and financial records of the Club. The Treasurer shall prepare a preliminary budget for submission to the membership at the November cruise/meeting. The preliminary budget shall establish the membership dues and initiation fees for the upcoming year. A final budget shall be prepared and submitted to the membership no later than the February cruise/meeting and a financial report shall be submitted at the end of the Club year.

Section 9: The removal of a Board of Directors member from office shall require a formal motion from the floor, duly seconded and passed by a three-fourths vote of the membership of the Club.

Section 10: Any vacancy on the Board of Directors during a prescribed term shall be filled by a member appointed by the remaining Board members.

Article IV - Initiation Fees and Dues

Section 1: Initiation fees and annual dues shall be determined by the preliminary budget at the November meeting.

Section 2: Initiation fees and dues shall be payable to the Treasurer.

Section 3: Any member of the club who wishes to withdraw (demit) from the Club may do so in writing prior to the expiration of the current year's dues. Reinstatement may be made subject to payment of pro-rated dues for the year of reinstatement.

Section 4: Dues will be pro-rated for new members as follows: New members joining before June 30 will pay full year dues. New members joining after June 30 will pay one-half of the full year dues.

Article V - Cruises and Meetings

Section 1: The January meeting of the Club will be held the third Tuesday of January at a location previously announced. The cruise and meeting schedule for the balance of the year will be presented and voted on at the January meeting.

Section 2: Cruise chairpersons for the year's cruises will be appointed at the January meeting.

Section 3: Cruise chairpersons will be responsible for: Organizing and planning the activities of their cruise; communicating the activities of the cruise to members at least two weeks prior to the cruise; accounting for and controlling expenditures of the cruise. The chairperson may spend up to $75 without Board approval.

Section 4: Cruises. The Club's cruising calendar will consist of approximately one cruise per month. Cruises may be by water or land and a social activity will constitute a cruise.

Section 5: Meetings. Except for the January meeting, meetings may be held in conjunction with cruises unless otherwise provided in the cruise schedule. If a meeting is to be held as part of the cruise, the membership shall be so notified as part of the cruise chairperson's communication responsibilities. Any action taken at a meeting shall require a majority vote of those present. 20% of the total voting membership must be present to constitute a quorum.

AWARD RULES FOR BOATING FAMILY OF THE YEAR

1. The purpose of this award is to stimulate Club participation and to reward the MOST active family for its support of the Club and its activities.

2. Points will be awarded only for events where everyone is eligible to participate.

3. The Commodore will keep an accurate record of all points.

4. Points will be earned from November 1 to October 31 and either spouse may earn the event points for the family. Both spouses cannot earn points for the same event.

5. The final decision for the award recipient will be made by the Board of Directors.

6. Points will be earned according to the following schedule:

¢--Attendance at a regular or special membership meeting
¢--Attendance at a N.B.C. general meeting
2 Points
¢--Participation in FYC or inter-club log race
¢--Work parties where all members are asked to help
¢--Attending only one day of a scheduled overnight activity
3 Points
¢--Preparation in a scheduled one day activity
5 Points
¢--Attending a scheduled overnight activity (staying overnight on the scheduled night), including the N.B.C. Picnic and the FYC Commodore's Cruise
7 Points
¢--Hosting a scheduled overnight activity
10 Points
¢--Sponsoring a new member

PROSPECTIVE MEMBER PROCEDURE

1. Prospective members are to be sponsored by a member of the FYC in good standing.

2. The prospective member must attend one scheduled FYC activity and one FYC regular meeting.

3. The prospective member and his/her application along with current initiation fees and one year's dues (dues are pro-rated after the June regular meeting), will be presented to the membership by the Commodore or the prospective member's sponsor at any meeting for consideration.

4. As most members meet prospective members while cruising and before application for membership, any objection to the prospective member must be made to the Board or sponsor before voting by members.

5. The Board will present the prospective member application to the membership. The prospective member will then be asked to step out for a moment so the membership can vote.

6. If accepted, the prospective member will be sworn in and given a club book, burgee, and membership card(s).

7. If not accepted, the prospective member will be refunded all monies paid.

8. The fees are as follows: Initiation $100 ($25 for RVers). Dues are $55 for one year.
